Welcome to MOMOCA, operated by Wonders Japan USA, Inc. (“MOMOCA,” “we,” “us,” or “our”). MOMOCA is operated through our website located at www.momoca.store (the “Site”), which may be accessed via desktop or mobile devices. We also operate related digital properties such as email, customer support channels, and social media platforms (collectively, the “Platform”).

These Terms of Service (the “Terms”) govern your access to and use of the Platform, including any content, products, or services made available through the Platform (collectively, the “Services”).

By accessing, browsing, purchasing, or otherwise using the Platform or Services, you acknowledge that you have read, understand, and agree to be legally bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, you may not access or use the Platform.

You represent that you are at least 18 years of age (or the age of majority in your jurisdiction) and that you have the legal authority to enter into these Terms.

Important Arbitration Notice

THE ARBITRATION AGREEMENT IN SECTION 11 (DISPUTE RESOLUTION) CONTAINS PROVISIONS GOVERNING HOW CLAIMS THAT YOU AND WE HAVE AGAINST EACH OTHER ARE RESOLVED. WITH LIMITED EXCEPTIONS, IT REQUIRES DISPUTES BETWEEN US TO BE SUBMITTED TO BINDING AND FINAL ARBITRATION. UNLESS YOU OPT OUT: (1) YOU MAY PURSUE CLAIMS ONLY ON AN INDIVIDUAL BASIS, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION; AND (2) YOU ARE WAIVING YOUR RIGHT TO SEEK RELIEF IN A COURT OF LAW AND TO HAVE A JURY TRIAL.

1. Registration

To access certain Services, you may be asked to register and create an account. As part of registration, you may be asked to agree to these Terms and to select or submit a username and password.

You may be required to provide certain information, which may include personally identifiable information such as your legal name, phone number, address, and email address. You agree to provide accurate, complete, and up-to-date information and to promptly update your information if it changes. If you do not, we may suspend or terminate your account.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. MOMOCA is not responsible for misuse of your account if a third party gains access due to your failure to safeguard your credentials.

When placing an order, you may be required to provide additional information such as shipping address, billing address, and payment details. Additional information may be collected by MOMOCA or its third-party providers for security and anti-fraud purposes. You represent that the information you provide is true, valid, complete, and up-to-date, and (unless the purchase is a gift) that you are the person referenced in the shipping and billing information.

We may store, use, disclose, and otherwise handle personal information you provide in accordance with our Privacy Policy.

2. Purchases

The Platform allows you to browse, view, choose, and purchase products or services through the Site. By purchasing through the Platform, you represent that you are at least 18 years old (or the age of majority in your jurisdiction) and have the legal capacity to enter into a contract. If you are under the age of majority or cannot lawfully enter into a contract, a parent or legal guardian must review these Terms and place the order on your behalf.

You represent that you are buying products for personal or household use only, not for resale or export, and that purchases are intended for final delivery to locations within the United States or Japan where MOMOCA offers shipping.

Promotional Products Clause:

Items offered through a 'Just Pay Shipping & Handling' promotion are provided at no cost for the product itself. However, the customer is responsible for all associated shipping and fulfillment costs. These items are limited to [e.g., one per household] and cannot be combined with other discounts.

Order Limits; Resale Restrictions

You may not purchase commercial quantities of our products without our prior written consent, and we may place limits on purchases. We may restrict orders placed under the same account, the same credit card, or using the same billing or shipping address. We reserve the right to limit, cancel, or prohibit orders that, in our judgment, appear intended for resale or distribution. We may refuse service or stop doing business with customers who violate this policy or any other part of these Terms.

Pricing; Availability; Promotions

Prices on the Site may differ from prices offered elsewhere. We strive to display accurate pricing and availability, but errors may occur. We reserve the right to correct errors, inaccuracies, or omissions at any time and to cancel orders arising from such occurrences. Promotional codes, if offered, must be entered at checkout to be valid. Discounts exclude taxes, shipping, and handling unless stated otherwise, and may not be combined with other offers unless expressly permitted.

Payment; Taxes

We may use third-party payment processors to process transactions. You are responsible for paying applicable taxes imposed in connection with purchases (excluding taxes on MOMOCA’s net income). Where required, we will collect and remit applicable taxes.

Risk of Loss; Title

Risk of loss and title for products purchased from MOMOCA pass to you upon our delivery of the products to the carrier.

Shipping & Returns Policies

All sales are subject to our shipping and return policies, which are made available on the Platform. Any refunds, replacements, or credits (if offered) will be provided in accordance with those policies and applicable law.

Food & Perishable Products; Final Sale

Our products include food items that may be perishable and/or have limited shelf life. By placing an order, you acknowledge and agree that:

• Food purchases are generally final sale and not eligible for return or exchange, except where required by applicable law.
• We do not accept returns of food products due to food safety and quality control standards.
• Freshness, texture, and flavor preferences are subjective and may vary and do not constitute product defects.
• You are responsible for reviewing product details, ingredients, and other information made available on the Platform prior to purchase.
• Shipping and handling fees for promotional items are considered service fees for the fulfillment and delivery of the product and are non-refundable once the order has been processed.

Delivery Timing; Perishable Risk

Because food items may be time-sensitive, you agree to provide an accurate shipping address and to ensure someone is available to receive the delivery. MOMOCA is not responsible for quality issues resulting from: (a) incorrect addresses provided by you; (b) missed delivery attempts; (c) packages left unattended after delivery confirmation; or (d) delays outside our control (including carrier delays, weather events, customs procedures (where applicable), or other force majeure events).

If you believe your order arrived damaged, incorrect, or materially compromised in transit, please contact us within 7 days of delivery with your order number and photos so we can evaluate and assist as appropriate.

Refer-a-Friend Program

If offered, refer-a-friend coupons are subject to the terms provided with the promotion. Unless otherwise stated: coupons are valid for three months, may be limited to one per customer, may only be used at www.momoca.store, may not apply to gift cards, and may not be combined with other discounts. MOMOCA reserves the right to modify or cancel promotions at any time where permitted by law. Additional terms may apply.

3. General Restrictions on Use

You agree to use the Platform and Services only for lawful purposes and in compliance with applicable laws, regulations, and generally accepted practices. You may use the Platform and Services only for your personal, non-commercial use.

You will not (and will not attempt to):

• Access Services by any means other than the interface provided by MOMOCA, including accessing, tampering with, or using non-public areas of the Services or our systems.
• Probe, scan, or test the vulnerability of any system or network or breach security or authentication measures.
• Bypass or circumvent technological measures used to protect the Platform or Services.
• Gain unauthorized access to systems or engage in activity that interferes with the performance or security of the Platform.
• Use automated means to access the Platform (including scripts or web crawlers) except as permitted by applicable law.
• Collect personally identifiable information for commercial purposes.
• Reproduce, duplicate, copy, sell, trade, or resell any aspect of the Platform, Services, or products except as expressly permitted by MOMOCA.
• Use MOMOCA trademarks, logos, or branding in a manner likely to cause confusion or suggest endorsement.

4. Content

As between you and MOMOCA, MOMOCA owns or licenses all information and materials made available through the Platform (“Platform Content”), including logos, designs, product names, images, and other intellectual property. Platform Content is protected by copyright, trademark, and other laws.

You agree not to remove or alter any copyright, trademark, or other proprietary notices on Platform Content. You may not use Platform Content except as expressly permitted under these Terms.

User Comments

Certain features may allow you to submit comments, feedback, or other content (“Comments”). By submitting Comments, you represent you have the right to do so and that the Comments do not violate any law or third-party rights. You grant MOMOCA a worldwide, perpetual, irrevocable, transferable, sublicensable license to use, reproduce, modify, publish, translate, distribute, and display the Comments without compensation.

MOMOCA may (but is not obligated to) monitor or remove Comments and assumes no responsibility or liability for content posted by users or third parties.

5. Errors, Inaccuracies, and Omissions

Information on the Platform may occasionally contain typographical errors, inaccuracies, or omissions. We reserve the right to correct errors and to change or update information or cancel orders if information is inaccurate at any time without prior notice (including after you submit an order).

6. Disclaimers and Warranties

To the fullest extent permitted by law, the Platform, Services, and Platform Content are provided “as is” and “as available,” without warranties of any kind, whether express or implied.

MOMOCA disclaims all implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement, to the extent permitted by law. We do not warrant that the Services will be uninterrupted, timely, secure, or error-free.

You understand that transmissions over the internet may not be secure. MOMOCA is not responsible for interception or unauthorized access to communications where permitted by law.

Force Majeure

MOMOCA is not liable for delays or failures in performance due to causes beyond our reasonable control, including natural disasters, weather events, carrier delays, labor disputes, acts of war or terrorism, or changes in laws or regulations.

7. Limitation of Liability

IN NO EVENT WILL MOMOCA BE LIABLE FOR DAMAGES OTHER THAN ACTUAL AND DIRECT DAMAGES PROVEN IN A COURT OF LAW. IN NO EVENT SHALL MOMOCA’S LIABILITY EXCEED THE PRICE YOU PAID FOR THE PRODUCT OR SERVICE THAT IS THE SUBJECT OF THE CLAIM. IF ANY PART OF THIS LIMITATION IS FOUND INVALID OR UNENFORCEABLE, THEN MOMOCA’S TOTAL LIABILITY SHALL NOT EXCEED TEN DOLLARS ($10), TO THE EXTENT PERMITTED BY LAW.

MOMOCA WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE PLATFORM, SERVICES, OR PRODUCTS.

IF YOU ARE DISSATISFIED WITH THE PLATFORM, SERVICES, OR THESE TERMS, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE PLATFORM AND SERVICES.

8. Indemnity

You agree to defend, indemnify, and hold harmless MOMOCA and its officers, directors, employees, agents, affiliates, licensors, and suppliers from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Platform or Services, your violation of these Terms, or your violation of any third-party rights.

9. Links to Other Sites

The Platform may contain links to third-party websites not controlled by MOMOCA. We are not responsible for third-party sites or their content, products, or services. Your use of third-party sites is at your own risk, and you should review their terms and privacy policies.

10. Complaint Procedures

If you believe content on the Site violates your intellectual property or other rights, please notify us at support@momoca.store with:

• Your name (and company, if applicable);
• Your contact information;
• A description of the complaint and the specific content at issue; and
• A statement that the information you provide is true and that you are authorized to submit the complaint.

11. Dispute Resolution

YOU AND MOMOCA AGREE TO GIVE UP ANY RIGHTS TO LITIGATE CLAIMS IN COURT OR BEFORE A JURY, OR TO PARTICIPATE IN A CLASS ACTION OR REPRESENTATIVE ACTION.

Any dispute arising out of or relating to these Terms shall be resolved exclusively through final and binding arbitration conducted by the American Arbitration Association (“AAA”), except where prohibited by applicable law. Arbitration will take place in Denver, Colorado, unless MOMOCA elects otherwise.

All arbitrations shall proceed on an individual basis. The arbitrator may award the same relief available in court on an individual basis, but may not award relief for or against anyone who is not a party to the arbitration.

Opt-Out

You may opt out of this arbitration agreement by mailing a written opt-out notice (“Opt-Out Notice”) postmarked no later than thirty (30) days after you accept these Terms for the first time. Your Opt-Out Notice must include your name, address, phone number, and the email address associated with your MOMOCA account, and must be signed.

If you opt out, the rest of these Terms remain in effect.

12. Miscellaneous

Entire Agreement

These Terms and the Privacy Policy constitute the entire agreement between you and MOMOCA regarding your use of the Platform and Services and supersede any prior agreements.

Changes

We may update these Terms from time to time. Your continued use of the Platform after changes are posted constitutes acceptance of the updated Terms.

Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in full force and effect.

Governing Law

These Terms are governed by the laws of the State of Colorado, without regard to conflict of law principles.

Platform Location

The Platform is controlled and operated from the United States. We make no representation that the Platform or Services are appropriate or available for use outside the locations where we offer shipping, and access from jurisdictions where it is illegal is prohibited.
